Terms of Use

These Terms of Use ("Legal Terms") constitute a legally binding agreement between you and Spread, a Colorado limited liability company ("Spread," "we," "us," or "our"), governing your access to and use of the Spread mobile application and related services (the "Services").

We provide a mobile-first app that helps hosts plan allergy-safe events and helps guests with food allergies participate in shared meals with confidence. The Services include event planning, recipe management, allergen detection, dietary information sharing between users, household member management, and educational content.

By accessing or using the Services, you agree that you have read, understood, and agreed to be bound by these Legal Terms and our Privacy Policy. If you do not agree, you must not use the Services.

These Legal Terms apply to all users of the Services, including users participating in private testing programs (such as closed alpha or beta testing). Participants in such programs may also be subject to additional terms specific to those programs.

We reserve the right to make changes to these Legal Terms at any time. We will alert you by updating the "Last updated" date and, for material changes, by providing notice through the App or via the email address associated with your account at least 30 days before the change takes effect. Your continued use after that period constitutes acceptance.

The Services are intended for users who are at least 18 years old. Persons under 18 are not permitted to use or register for the Services. Adult users may add minors as household members, subject to the terms in Section 9.

1. About the Services

The Services allow you to:

  • Create profiles containing your dietary needs, allergens, and other relevant information.
  • Manage allergy profiles for non-account household members under your care or with their consent.
  • Create and host food-related events, manage guest lists, and track RSVPs.
  • View dietary information for guests who have consented to share it with hosts.
  • Import or create recipes and view automated allergen analysis.
  • Maintain a private journal of allergic reactions.
  • Browse educational content on food allergies, dietary conditions, and related topics.
  • Set granular privacy controls over what information you share with whom.

The Services are provided for personal, non-commercial use within the United States. The Services are not designed for or marketed to users outside the United States.

The Services are not designed to comply with industry-specific regulations such as HIPAA, FISMA, GLBA, or COPPA. You may not use the Services in any manner that would subject your use to such regulations.

2. Important Health and Safety Notice

Please read this section carefully. It contains critical information about how the Services relate to your health and safety, and significant limitations you must understand.

The Services are not medical advice or a medical device

The Services are an organizational tool for planning food events and managing dietary information. The Services are not a medical device, medical service, diagnostic or treatment tool, substitute for professional medical advice, or emergency response system.

Educational content provided through the Services is for general informational purposes only. It is not personalized medical advice and should not be relied upon for medical decisions. Always consult a qualified healthcare professional for medical guidance.

Allergen detection has significant limitations

The Services include automated tools that attempt to identify allergens in recipes and dishes by matching ingredients against a database of known allergens. You must understand that these tools have significant limitations:

  • The allergen database was built using AI tools (Anthropic's Batch API). The database may contain errors, gaps, or incorrect mappings.
  • Allergen detection may produce false negatives (failing to identify an allergen that is present) or false positives (incorrectly flagging an allergen that is not present).
  • The accuracy of allergen detection depends on the input — recipes and ingredients are entered by users and may be incomplete or inaccurate.
  • Allergen detection cannot identify cross-contamination during cooking or storage.
  • Allergen detection cannot identify hidden allergens in processed ingredients.
  • Allergen detection cannot account for individual variations in tolerance, severity, or co-reactivity between substances.
  • The keyword-based scanner used during recipe creation is heuristic and is not guaranteed to identify all relevant allergens.

You should never rely solely on the Services to determine whether food is safe for any individual. Always verify ingredients directly with hosts, check labels on packaged ingredients, and consult relevant medical professionals for serious dietary concerns.

Safety scoring has limitations

The Services display a "safety level" for each dish (safe, warn, danger) based on automated analysis. This level reflects only the data the Services have available — it cannot account for ingredients not yet entered, last-minute substitutions, cross-contamination, or differences between the recipe and what is actually served. A safe indicator does not guarantee actual safety.

You are responsible for your own safety

By using the Services, you acknowledge and agree that:

  • You are responsible for managing your own dietary needs and medical conditions.
  • You are responsible for verifying directly with hosts the contents and preparation of any food you eat at events.
  • If you have a severe allergy or condition that could result in anaphylaxis or other medical emergency, you should always carry prescribed medications (such as epinephrine auto-injectors), regardless of what the Services indicate.
  • You should not consume food at any event without independent verification when the consequences of an error could be serious.
  • Hosts using the Services are not medical professionals or licensed food handlers.

Hosts using the Services

If you use the Services to host events:

  • You are responsible for your own decisions about the food you serve, regardless of what the Services indicate.
  • You should not represent to guests that food is "safe" based solely on the Services' analysis.
  • You should encourage guests with severe restrictions to verify ingredients directly with you.
  • The Services are a tool to help you organize information; they do not replace your own diligence as a host.

In an emergency

If you or someone at an event is experiencing a medical emergency, including but not limited to anaphylaxis, severe allergic reactions, or other urgent conditions, call 911 (or your local emergency number) immediately. Do not rely on the Services to handle any aspect of an emergency response.

3. Pre-Release Software Notice

The Services may at times be made available in pre-release form (including alpha or beta testing programs). Pre-release software:

  • Has not been fully tested and may contain errors, bugs, or other defects.
  • May lose, corrupt, or fail to display data correctly, including allergen and dietary information.
  • May have features that change, are removed, or do not work as expected.
  • Is not subject to the same review or approval processes as commercially-released software.

If you are using the Services in pre-release form, you do so at your own risk. For users with severe allergies or dietary needs, the limitations described in Section 2 apply with even greater force during pre-release periods.

4. Intellectual Property Rights

Our content and marks

We are the owner or licensee of intellectual property rights in the Services, including all source code, designs, software, audio, video, text, photographs, and graphics in the Services (collectively, the "Content"), and the trademarks, service marks, and logos contained therein (the "Marks"). The Content and Marks are protected by U.S. and international intellectual property laws.

License to use the Services

Subject to your compliance with these Legal Terms, we grant you a non-exclusive, non-transferable, revocable, limited license to access and use the Services for your personal, non-commercial use.

Except as expressly permitted, you may not copy, reproduce, aggregate, republish, upload, post, publicly display, encode, translate, transmit, distribute, sell, license, or otherwise exploit any part of the Services, Content, or Marks for any commercial purpose without our express prior written permission.

Your submissions

If you send us feedback, suggestions, ideas, or other information about the Services ("Submissions"), you agree we may use such Submissions for any purpose without acknowledgment or compensation. You assign to us all intellectual property rights in such Submissions.

Your content

You retain ownership of content you create through the Services ("User Content"), including profiles, events, recipes, journal entries, household member information, and other content. By submitting User Content, you grant us a non-exclusive, royalty-free, worldwide license to host, store, display, transmit, and modify such User Content as necessary to operate the Services.

This license terminates when you delete your User Content or your account, except to the extent that User Content has been shared with other users or must be retained for legal or operational reasons.

Copyright infringement

If you believe content on the Services infringes your copyright, please contact us at ashley@spreadapp.co with a description of the alleged infringement, the location of the content, and your contact information. We will respond consistent with the Digital Millennium Copyright Act and other applicable laws.

5. User Representations

By using the Services, you represent and warrant that:

  1. All registration and profile information you submit is true, accurate, current, and complete.
  2. You will maintain the accuracy of your information and update it as needed.
  3. You have the legal capacity to enter into these Legal Terms.
  4. You are at least 18 years old.
  5. You are located in the United States.
  6. You will not access the Services through automated or non-human means.
  7. You will not use the Services for any illegal, harmful, or unauthorized purpose.
  8. Your use of the Services will not violate any applicable law or regulation.
  9. Any health, dietary, or medical information you provide is accurate to the best of your knowledge.
  10. For any household member you add: you have the authority and consent to enter and manage that person's information. For minors, this means you are the parent or legal guardian, or you have explicit permission from the parent or legal guardian. For adults, this means you have their explicit consent.
  11. Any recipes you import or create are either your own original content, are in the public domain, or are imported with appropriate attribution under fair use principles.

If you provide information that is untrue, inaccurate, not current, or incomplete, we may suspend or terminate your account.

6. Account Registration and Sign-In

Sign-in methods

You may register for an account using email and password, Sign in with Apple, or Sign in with Google. If you sign in with Apple, you may use Apple's Hide My Email feature, in which case we will receive a relay email address rather than your actual email. The Services work fully with relay email addresses.

Account security

You agree to:

  • Keep your password and authentication credentials confidential.
  • Be responsible for all activity under your account.
  • Notify us immediately of any unauthorized use of your account.
  • Not create multiple accounts, share accounts, or transfer your account to another person.

7. Account Deletion

You may delete your account at any time through the in-app account deletion feature in your profile settings, or by emailing us at ashley@spreadapp.co.

When you delete your account:

  • Your profile, allergens, household members, recipes, journal entries, and saved bookmarks will be deleted from active systems within 30 days.
  • Events you hosted continue to exist for guests who RSVPed to them, but identifying information about you (your name as host) is removed or anonymized.
  • Events you RSVPed to continue to exist for the host and other guests, but identifying information about you is removed or anonymized.
  • Information you contributed to community features (such as tag reports on allergens) may persist in anonymized form for ongoing accuracy improvement.
  • Limited backups may retain copies for up to 90 days before being purged.
  • Limited records may be retained for security, legal, fraud prevention, or backup purposes.

8. User-Generated Content and Contributions

The Services allow you to create, post, share, and transmit content, including profile information, events, RSVPs, recipes, reaction journal entries, household member information, tag reports, and bookmarks. Collectively, this is your "User Content."

Your representations regarding User Content

By submitting User Content, you represent and warrant that:

  • You own or have the necessary rights to submit the User Content.
  • The User Content does not infringe the intellectual property rights of any third party.
  • The User Content does not violate the privacy or publicity rights of any third party.
  • The User Content is not false, misleading, fraudulent, or deceptive.
  • The User Content does not violate any applicable law, regulation, or rule.
  • For dietary or allergy information you enter about yourself: the information is accurate to the best of your knowledge.
  • For event information: you are the actual host, and you have the authority to invite the guests you invite.
  • For recipes: you have the right to use the source content, and the ingredient information is accurate to the best of your knowledge.
  • For household member information: you have the authority and consent described in Section 9.

Limitations on User Content

User Content must not:

  • Be illegal, hateful, harassing, threatening, defamatory, obscene, sexually explicit, or pornographic.
  • Promote violence, discrimination, illegal activity, or harm to any person or group.
  • Constitute or facilitate harassment, stalking, doxxing, or unwanted contact.
  • Contain spam, advertising, pyramid schemes, or solicitations.
  • Impersonate any other person or entity.
  • Misrepresent the contents of food in a manner that could endanger another person's health.
  • Violate any third party's intellectual property or privacy rights.

We have the right (but not the obligation) to monitor, edit, redact, or remove any User Content, in our sole discretion, without notice. We may suspend or terminate accounts that submit User Content in violation of these Legal Terms.

9. Household Members

The Services allow you to manage allergy profiles for non-account household members (such as children, elderly relatives, or other household members who don't have their own Spread accounts).

Your responsibility when adding a household member

By adding a household member, you represent and warrant that you have the authority and consent to enter and manage their personal information, including their name, allergens, and dietary information.

For minors in your household, this means you are the parent or legal guardian, or you have explicit permission from the parent or legal guardian. For adults, this means you have their explicit consent. If a household member is unwilling or unable to give consent, you should not add them.

Children specifically

The Services are designed for users 18 and older. Children may not create their own accounts. By adding a child as a household member, you confirm that you are the parent or legal guardian (or have explicit authorization), that you will manage the child's information in their best interests, and that you take responsibility for any consequences of sharing the child's allergy information with hosts or other adults.

Inviting a household member to claim their own account

The Services include an invite mechanism by which a household member can claim an account of their own and migrate their information from your account. If a household member activates their own account through an invite, their information transfers to their account and is no longer manageable through yours.

10. Information Shared Between Users

The core function of the Services involves sharing information between users. Your profile information (name, avatar, location) is visible to other users based on your profile visibility setting (hosts_only, friends, or anyone). Your allergens are subject to granular per-allergen privacy controls (show_to_organizers and show_to_attendees). See our Privacy Policy for full details.

When you are a guest

When you RSVP to an event, the host sees your name (or anonymized identifier if hidden), RSVP status, any note you provided, and any allergens you have set to show_to_organizers = true.

When you are a host

When you create an event, you are responsible for handling guest information appropriately: not sharing it beyond what is necessary for the event, not retaining it longer than needed, and not using it for any purpose other than the event.

Misuse of shared information

Using shared information for any purpose other than the event for which it was shared is a violation of these Legal Terms. You may not compile lists of users' dietary or medical information, share another user's allergen information outside the event, or discriminate against guests based on their dietary needs. 11. Recipe Imports and Third-Party Content

The Services allow you to import recipe information from third-party websites. By using these features, you understand and agree that:

  • You are responsible for ensuring you have the right to use any content you import.
  • We extract only ingredient lists and basic metadata from imported recipes.
  • Imported content remains the property of its original source.
  • We display attribution to the original source, including publisher name, author, and a link back.
  • Third-party websites may change their content or terms at any time.
  • The Services do not verify the accuracy of imported recipe information.

You may not use the recipe import feature to systematically extract content from third-party websites or to circumvent any access restrictions imposed by third-party websites.

12. Educational Content

The Services include a learning hub with educational content about food allergies, dietary conditions, and related topics. This content is for general informational purposes only.

The educational content is not medical advice. Always consult a qualified healthcare professional for medical advice specific to your situation.

13. Reaction Journal Privacy

The Services include a private journal for logging allergic reactions, including symptoms, severity, suspected triggers, and notes.

Reaction journal entries are strictly private. They are visible only to you. Hosts of events at which you logged a reaction cannot see your journal entries. Other guests cannot see your journal entries. We do not share your individual journal entries for any purpose.

We may use aggregated, fully anonymized patterns from journal entries to improve the allergen detection database, but only after fully removing personal identifiers.

14. Tag Reports and Community Feedback

The Services allow you to flag incorrect allergen tags on recipes (a "tag report"). When you submit a tag report, we collect the structured information you provide and review tag reports to improve the accuracy of the allergen detection database. Your individual reports are not visible to other users. Submitting false or malicious tag reports is a violation of these Legal Terms.

15. Prohibited Activities

In addition to other restrictions throughout these Legal Terms, you may not:

General prohibitions

  • Use the Services for any illegal or unauthorized purpose.
  • Violate any applicable law, regulation, or rule.
  • Interfere with the security or operation of the Services.
  • Reverse engineer, decompile, or disassemble the Services.
  • Use automated tools (bots, scrapers, etc.) to access or collect data from the Services.
  • Use the Services to compete with us or develop a competing product.
  • Use the Services to send spam, unsolicited messages, or advertising.

Health and safety prohibitions

  • Knowingly enter false or misleading information about food ingredients in a manner that could endanger another person's health.
  • Misrepresent that you have verified or accommodated a guest's dietary needs when you have not.
  • Use the Services to circumvent another person's stated dietary restrictions.
  • Submit false tag reports designed to corrupt the allergen detection database.

Data misuse prohibitions

  • Compile lists of other users' health, dietary, or medical information.
  • Share another user's allergen or health information beyond the event for which it was shared.
  • Discriminate against any user based on their dietary needs or medical conditions.

Violations may result in immediate account termination, removal of content, reporting to law enforcement, and pursuit of legal remedies.

16. Mobile Application License

If you access the Services via the mobile app, we grant you a revocable, non-exclusive, non-transferable, limited right to install and use the app on devices you own or control, for personal use, in accordance with these Legal Terms.

You may not decompile, reverse engineer, or attempt to derive source code; modify or create derivative works; remove or alter proprietary notices; use the app for commercial purposes; or make the app available to multiple users on a network.

17. Privacy Policy

Your use of the Services is also governed by our Privacy Policy, which is available within the App and at spreadapp.co/privacy. The Privacy Policy is incorporated into these Legal Terms by reference.

The Services are hosted in the United States. By using the Services, you consent to your data being transferred to and processed in the United States.

18. Services Management

We reserve the right (but are not obligated) to monitor the Services for violations of these Legal Terms, take legal action against violators, refuse, restrict, limit, or disable access to any User Content, and manage the Services to protect our rights and the rights of others.

19. Modifications and Interruptions

We reserve the right to change, modify, or remove the contents of the Services at any time, in our sole discretion. We may suspend the Services for maintenance, updates, or any other reason. We are not liable for any loss, damage, or inconvenience caused by your inability to access the Services during downtime or discontinuance.

20. Term and Termination

These Legal Terms remain in effect while you use the Services.

We may terminate or suspend your account or access to the Services at any time, for any reason, in our sole discretion, without notice or liability. Upon termination, you must stop using the Services immediately. Provisions that by their nature should survive (including disclaimers, limitations of liability, indemnification, dispute resolution, and intellectual property provisions) will survive.

If we terminate your account, you may not create a new account using your name, a fake or borrowed name, or the name of any third party.

21. Governing Law

These Legal Terms and any disputes arising under or related to them are governed by the laws of the State of Colorado, without regard to its conflict of law principles. The federal laws of the United States also apply where applicable.

22. Dispute Resolution

Informal negotiation

Before initiating any formal dispute resolution, you and we agree to attempt to resolve any dispute informally by contacting each other in writing for at least thirty (30) days. Disputes may be raised by emailing ashley@spreadapp.co.

Binding arbitration

If informal negotiation does not resolve a dispute, the dispute will be resolved by binding arbitration administered by the American Arbitration Association (AAA) under its Commercial Arbitration Rules. The arbitration will take place in Larimer County, Colorado, or by remote means as the AAA rules permit.

By agreeing to arbitration, you waive your right to a jury trial and your right to participate in a class action. Arbitration is conducted on an individual basis only.

Exceptions

The following may be brought in court rather than arbitration: claims for injunctive relief; claims involving intellectual property; claims of theft, piracy, or unauthorized use; and small claims court matters within the jurisdictional limits. For claims brought in court, the parties consent to the exclusive jurisdiction of state and federal courts located in Larimer County, Colorado.

Time limitation

Any claim arising out of or related to the Services must be brought within one (1) year of the cause of action arising. Claims brought after that period are waived.

23. Disclaimer

THE SERVICES ARE PROVIDED ON AN "AS-IS" AND "AS-AVAILABLE" BASIS. YOUR USE OF THE SERVICES IS AT YOUR SOLE RISK.

TO THE FULLEST EXTENT PERMITTED BY LAW, WE DISCLAIM ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT; WARRANTIES THAT THE SERVICES WILL BE UNINTERRUPTED, ERROR-FREE, OR SECURE; WARRANTIES REGARDING THE ACCURACY OR COMPLETENESS OF ANY CONTENT, INCLUDING ALLERGEN ANALYSIS, RECIPE INFORMATION, EDUCATIONAL CONTENT, OR USER-CONTRIBUTED INFORMATION; AND WARRANTIES THAT THE SERVICES WILL BE FREE OF VIRUSES OR OTHER HARMFUL COMPONENTS.

WE ASSUME NO LIABILITY FOR ERRORS, MISTAKES, OR INACCURACIES IN CONTENT; PERSONAL INJURY OR PROPERTY DAMAGE; UNAUTHORIZED ACCESS TO OR USE OF OUR SERVERS; INTERRUPTIONS OR CESSATION OF TRANSMISSION; OR ANY HEALTH-RELATED OUTCOMES, INCLUDING ALLERGIC REACTIONS, FOOD-BORNE ILLNESS, OR OTHER MEDICAL EVENTS.

24. Limitation of Liability

TO THE FULLEST EXTENT PERMITTED BY LAW, IN NO EVENT WILL SPREAD, LLC, OR OUR AFFILIATES, AGENTS, EMPLOYEES, OR REPRESENTATIVES BE LIABLE TO YOU OR ANY THIRD PARTY FOR ANY INDIRECT, INCIDENTAL, CONSEQUENTIAL, EXEMPLARY, SPECIAL, OR PUNITIVE DAMAGES, INCLUDING LOST PROFITS OR REVENUE, LOSS OF DATA, BUSINESS INTERRUPTION, PERSONAL INJURY OR HEALTH-RELATED HARM INCLUDING ALLERGIC REACTIONS OR ANAPHYLAXIS, EMOTIONAL DISTRESS, OR LOSS OF GOODWILL.

OUR TOTAL CUMULATIVE LIABILITY TO YOU FOR ANY AND ALL CLAIMS ARISING FROM OR RELATED TO THE SERVICES IS LIMITED TO THE GREATER OF (A) THE AMOUNT YOU HAVE PAID US IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM, OR (B) ONE HUNDRED U.S. DOLLARS ($100).

Certain state laws do not allow limitations on implied warranties or the exclusion or limitation of certain damages. If these laws apply to you, some or all of the above disclaimers or limitations may not apply, and you may have additional rights.

This section does not limit liability for things that cannot be limited by law, including gross negligence, willful misconduct, or fraud.

25. Indemnification

You agree to defend, indemnify, and hold harmless Spread, LLC, its members, agents, and representatives from and against any loss, damage, liability, claim, or demand, including reasonable attorneys' fees, made by any third party arising out of or related to:

  • Your User Content.
  • Your use or misuse of the Services.
  • Your breach of these Legal Terms.
  • Your violation of any law or the rights of any third party.
  • Any harm caused by you to another user.
  • Any false or misleading dietary, allergen, or medical information you provided.
  • Any household member information you entered without proper authority or consent.
  • Any harm to a child whose information you entered as a household member.

This indemnification obligation does not apply to claims arising from our own gross negligence, willful misconduct, or fraud.

26. Apple and Google Distribution

The following terms apply when you access the App through the Apple App Store or Google Play (each, an "App Distributor"):

  • The license granted to you for the App is limited to use on devices using the Apple iOS or Android operating system in accordance with the App Distributor's usage rules.
  • We are responsible for the App and its content; the App Distributor is not.
  • The App Distributor has no obligation to provide maintenance or support.
  • In the event of any failure of the App to conform to applicable warranty, you may notify the App Distributor, which may refund the purchase price (if any).
  • You represent that you are not located in a country subject to a U.S. government embargo or designated as supporting terrorism.
  • The App Distributors are third-party beneficiaries of these Legal Terms and may enforce them against you.

27. Electronic Communications

By using the Services, you consent to receive electronic communications from us, including emails, push notifications, and in-app messages. You agree that all such communications satisfy any legal requirement that communications be in writing.

You can opt out of non-essential communications through the Services' notification settings, but you cannot opt out of communications essential to operating the Services (such as security alerts).

29. Miscellaneous

These Legal Terms, together with the Privacy Policy and any additional terms specifically referenced, constitute the entire agreement between you and us. Our failure to enforce any provision is not a waiver of that provision. If any provision is found unlawful, void, or unenforceable, that provision is severed and the remaining provisions remain in effect. We may assign these Legal Terms at any time. You may not assign these Legal Terms without our written consent. These Legal Terms do not create any joint venture, partnership, employment, or agency relationship.
